Thomas S. Wyatt Joins Dilworth as Partner, Continuing a Year of Exciting Growth in the Corporate and Business Department

Dilworth Paxson LLP is proud to welcome Thomas S. Wyatt as a Partner. On October 15, he joined the Firm’s Corporate and Business Department as a member of the Securities and Mergers & Acquisitions practice groups. Based in the Firm’s Philadelphia office, Mr. Wyatt brings broad-based securities and corporate governance experience, including work on public offerings, acquisitions, dispositions, and transition matters.

The announcement continues the exciting momentum of the Corporate and Business Department at Dilworth, where a legacy of success meets a focus on the future. Bill Green, Chairman of Philadelphia’s School Reform Commission and a former city councilman, joined the Department as special counsel earlier this year.

Wyatt comes to Dilworth from American Water Works Company, Inc. in Voorhees, NJ, where he had served as Chief Ethics and Compliance Officer and Securities Counsel since 2011, and previously served as SEC Counsel, Assistant Secretary, and Corporate Counsel since 2006. He was lead counsel for all corporate finance, Exchange Act filings, and overall disclosure compliance. He managed and administered all aspects of American Water’s ethics and compliance program and conducted company-wide trainings on general commercial matters, insider trading, disclosure controls and procedures, and the Sarbanes-Oxley Act. As the company’s corporate governance expert, he advised the Board of Directors and senior management on securities law and other corporate governance matters.

Prior to joining American Water Works Company, Inc., Wyatt served as a Business Associate at Morgan, Lewis & Bockius LLP in Philadelphia, where he gained broad-based corporate experience in securities, mergers and acquisitions, and other general corporate matters. He also served as a Business Associate and Summer Associate at Dechert LLP in Philadelphia, representing clients in public and private mergers and acquisitions, as well as stock and asset sales. Selected for the City of New York’s Urban Fellowship, he served as a Special Assistant to the Department of Investigations, preparing reports and memoranda for the Mayor and other New York City officials.

Wyatt exemplifies Dilworth’s commitment to service. He spent a year as a case manager at Boulder Community Treatment Center in Boulder, Colorado, counseling county, state, and federal criminal offenders in preparation for their return to the community. He also spent two years as a high school technology teacher in Greenville, Mississippi, as part of the Teach For America program. He is a graduate of the University of California, Berkeley School of Law, and Colorado State University.
